Terms of service
V Bay Services LLC · vbayconnect.com · Effective September 30, 2026
These Terms of Service (“Terms”) are a binding agreement between you and V Bay Services LLC, a Michigan limited liability company (“V Bay,” “we,” “us”), for use of V Bay Connect at vbayconnect.com (the “Service”). By creating an account, connecting a page, posting, going live, or hiring through the Service, you agree to these Terms and to the Privacy Policy. If you do not agree, do not use the Service.
1. The services we provide
V Bay Connect is a media service and a project lead-distribution service. We provide three desks:
- A marketplace desk, where a client can search for a professional by service and location, and where V Bay distributes that inquiry as a lead to the professional the client contacts.
- A media desk, where a professional or creator can store media on a profile and, after connecting a network and giving permission, have V Bay post that media to the connected accounts.
- A live desk, where a user can run a video estimate or a public live session, including a paid session when the broadcaster sets a per-minute price.
V Bay is the distributor of the lead, the message, and the media you submit. V Bay is not the contractor who performs a home or property project, is not the employer of a professional, and is not a party to the job agreement between a client and a professional. Any price, scope, and warranty for the physical work is solely between those two parties.
2. Accounts
You must give a real name, a working email, and, for a business profile, the business name you are authorized to represent. You must be at least 18 years old to open a professional account, to pay for a live session, or to view a stream marked adult. You are responsible for activity under your login. You may not transfer the account, share the password, or open an account for someone else without authority to bind them.
3. Lead distribution
A search result is an introduction, not a promise that a professional is licensed, insured, or available. When you contact a professional, you authorize V Bay to deliver your name, contact details, location, and project description to that professional so the professional can answer. Professionals may not harvest leads to resell them, and clients may not use the desk to collect personal information for a purpose other than hiring. V Bay does not guarantee that a lead will produce a hired job.
4. Media and permission to post
You keep ownership of the photos, videos, and text you upload. You grant V Bay a limited, non-exclusive license to host that media, display it on your V Bay profile and feed, and transmit it to a social network only after you connect that network and send the post, or you leave “Also send to my pages” on for that post. The license ends when you delete the media or the account, except for copies a network has already published and copies we must keep for a payment dispute or a legal hold.
Connecting a network is your authorization for V Bay to act on your behalf for the permissions that network shows you, including publishing the media you submit. We do not post to a network you have not connected. You may disconnect at any time on the Social page. You must follow the rules of each network you connect. A network may reject, limit, or delay a post. That failure is not a breach by V Bay.
5. Live sessions
Starting or joining a live session is your instruction to use the camera and microphone for that session only. A home or property remote estimate is a service call. Viewers are not charged a per-minute entertainment rate for that estimate. A session offered by an entertainer, influencer, public figure, politician, or similar broadcaster may be charged at the per-minute price that broadcaster sets in the account. The timer runs only while that broadcaster is actually live. The viewer pays from V Bay credits. Trial minutes do not cover a live stream. They apply to remote estimates only. V Bay retains a ten percent (10%) processing charge from each paid live minute and remits the rest according to the broadcaster’s account. A price of zero is a free stream and is not charged.
A broadcaster who marks a stream as containing nudity or adult content must say so at sign-up and must keep the 18+ gate on. Viewers must confirm they are 18 or older before the picture is shown. The broadcaster, not V Bay, is responsible for any age-verification and record-keeping duty that the law places on the producer of that content. Illegal content, including sexual content involving minors, is forbidden and will be removed and reported.
6. Professional desk fees and credits
A new professional desk includes a thirty (30) day free trial and starter minutes for remote estimates only, as shown at sign-up. Live streams are not covered by those minutes. After the trial, the professional desk is twenty-five U.S. dollars (US $25) per month. That subscription is the fee to receive project leads, run remote estimates, use the CRM, auto-share authorized media, and accept jobs from V Bay. Live credits are separate from the monthly desk fee. Entertainment viewers buy credits and spend them by the minute. Fees charged by another company, including X API charges on console.x.com, are billed by that company, not by V Bay.
You authorize the payment processor shown at checkout to charge the card you enter for the subscription, credit purchase, or other amount you confirm. V Bay does not store the full card number. Failed payment may pause lead delivery and posting until the balance is current. Unless a law requires a refund, a month that has already started and credits that have already been used are not refundable.
7. Acceptable use
You will not:
- Break the law, or help someone else break it, through the Service.
- Post or stream sexual content involving anyone under 18.
- Impersonate another person or business, or open a profile you are not authorized to run.
- Spam, scrape leads, or resell personal information you received through a lead.
- Upload malware, attack the Service, or bypass a login, age gate, or payment.
- Use a connected social account in a way that violates that network’s terms.
- Misstate a license, insurance, price, or identity in order to obtain a job.
8. Suspension and termination
You may delete your own account in profile settings at any time. Deletion stops new use and is handled as described in the Privacy Policy. V Bay may suspend or terminate an account, a live session, or a social connection, without a refund of an unused month, if:
- You violate these Terms or the Privacy Policy.
- A payment is reversed, charged back, or unpaid after notice.
- The account is used for spam, fraud, impersonation, or unlawful content.
- A connected network disables the app, the Page, or the token because of abuse.
- We are required to do so by law, a court, or a payment-network rule.
- Continuing the account creates a material security or safety risk to other users.
For a first non-serious violation we may warn you and require a correction. Illegal content, impersonation, nonpayment, and security abuse may be closed without prior warning. Termination ends your license to use the Service. Sections that by their nature should survive, including ownership, payment for charges already incurred, disclaimers, and limits of liability, survive termination.
9. Compliance
You will comply with the laws that apply to your business and your content, including licensing for the trade you advertise, tax on the amounts you earn, and the rules of each social network you connect. V Bay complies with applicable United States consumer privacy law as stated in the Privacy Policy, and with the payment-network rules that apply to charges we initiate. Professionals who stream adult content must also comply with the laws that apply to that content. Nothing in these Terms requires either party to violate a law or a network’s developer terms.
10. Disclaimers and limit of liability
The Service is provided “as available.” Listings, video, and social posts can fail when a network is down, an app is not yet approved, or a token has expired. V Bay does not warrant that a professional will complete a job, that a lead will convert, or that a third-party network will accept a post. To the fullest extent allowed by Michigan law, V Bay is not liable for indirect, incidental, special, consequential, or lost-profit damages, or for a job dispute between a client and a professional. V Bay’s total liability for a claim arising out of the Service is limited to the amount you paid V Bay for the Service in the three months before the claim, or fifty U.S. dollars (US $50) if you paid nothing. These limits do not apply where the law does not allow them, including liability for fraud or for injury caused by gross negligence.
11. Disputes, law, and changes
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law rules. You and V Bay agree that the state courts located in Michigan, or the federal court sitting there, are the venue for a dispute that is not resolved informally. Before filing, you will email info@vbayservices.com and allow fifteen (15) days for a response. We may update these Terms by posting a new version on this page with a new effective date. Continued use after that date is acceptance of the updated Terms.
